1.3 The following terminology applies to the Terms and Conditions and Privacy Policy: "Client", "You" and "Your" refers to you, the person using the Website and bound by Pavilion Management's Terms and Conditions. "Ourselves", "We", "Our" and "Us", refers to Pavilion Management. "Party" or "Parties" refers to both the Client and Pavilion Management. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client's needs in respect of the provision of Pavilion Management's stated services, in accordance with and subject to the prevailing laws of the Turks and Caicos Islands. Unless the context otherwise requires, words importing the singular include the plural and vice versa, words importing gender include all genders or the neuter, words importing the neuter include all genders, and capitalized words and uncapitalized words are taken as interchangeable.

2. Modifications

2.1 We reserve the right in our sole discretion to revise and update these Terms and Conditions from time to time. You agree to periodically review the terms and conditions so that you are aware of any such modifications and your continued use of the Website shall constitute your acceptance of same. The Website and the information and material contained therein may be changed, withdrawn or terminated at any time in our sole discretion without notice. We will not be liable if, for any reason whatsoever, all or any part of the Website is restricted to users and/or unavailable at any time or for any period.

5.1 Unless otherwise stated, Pavilion Management and/or its licensors own the intellectual property rights for all material on the Website. All intellectual property rights are reserved by Pavilion Management. You may access the Website for your own personal use, subject to the restrictions set in these Terms and Conditions.

5.2 You must not, without the express prior written approval of Pavilion Management in writing:

  • Republish material from Pavilion Management;
  • Sell, rent, or sub-license material from Pavilion Management;
  • Reproduce, duplicate, or copy material from Pavilion Management;
  • Redistribute content from Pavilion Management; or
  • Otherwise breach any copyright held by Pavilion Management associated with any of the contents of the Website.

5.3 Certain parts of the Website offer an opportunity for users to post and exchange opinions and information ("Comments"). Pavilion Management does not filter, edit, publish, or review Comments prior to their publication on the Website. Comments do not reflect the views and opinions of Pavilion Management, its agents and/or affiliates. In accordance with the Turks and Caicos Islands' Electronic Transactions Act and otherwise applicable laws of the Turks and Caicos Islands, Pavilion Management shall not be liable for the Comments or for any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the Comments on the Website, and you assume said liability insofar as such liability, damages, or expenses caused and/or suffered occur as a result of your Comments or Comments made via your internet connection. Where Pavilion Management acquires knowledge that any comment gives rise to civil or criminal liability, it will take steps to remove the Comment in accordance with the Electronic Transactions Act.

5.4 Pavilion Management reserves the right to monitor all Comments and to remove any Comments which can be considered inappropriate, offensive or causes breach of these Terms and Conditions.

5.5 You warrant and represent that:

  • You are entitled to post the Comments on the Website and have all necessary licenses and consents to do so;
  • The Comments do not infringe upon any intellectual property right, including without limitation a copyright, patent or trademark of any third party;
  • The Comments do not contain any defamatory, libelous, offensive, indecent or otherwise unlawful material which is an invasion of privacy; and
  • The Comments will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.

5.6 You hereby grant Pavilion Management a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your Comments in any and all forms, formats or media.

6.1 The following organizations may link to the Website without our prior written approval:

12.1 TO THE MAXIMUM EXTENT PERMITTED BY TURKS AND CAICOS ISLANDS LAW, THE LIABILITY OF PAVILION MANAGEMENT, ITS AFFILIATES AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, INABILITY TO USE, RELIANCE ON THE WEBSITE AND/OR THE SERVICES, ANY LINKED WEBSITES OR THIRD-PARTY WEBSITES, OR ANY SITE CONTENT, MATERIALS, POSTINGS OR INFORMATION THEREON, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PAVILION MANAGEMENT IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL PAVILION MANAGEMENT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES INCLUDING LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, OR LOSS OF DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE. 13.1 To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pavilion Management, its affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms and Conditions or your use of the Website, including, but not limited to, your Comments, third party sites, any use of the Website's content, and products other than as expressly authorized in these Terms and Conditions.

14. Governing Law and Jurisdiction

14.1 The Website and these Terms and Conditions will be governed by and construed in accordance with the laws of the Turks and Caicos Islands, without giving effect to any choice or conflict of law provision, principle or rule (whether of the laws of the Turks and Caicos Islands or any other jurisdiction) and notwithstanding your domicile, residence or physical location.

14.2 Any action or proceeding arising out of or relating to this Website and under these Terms and Conditions will be instituted in the courts of the Turks and Caicos Islands, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding.
